What is Source Code Escrow?
The developer deposits the source code of software with a neutral third party, the escrow agent.
If the developer goes bankrupt or discontinues their services - for whatever reason - the customer gets access to the deposited source code.
In the escrow agreement, the developer, the client and the escrow agent agree in advance on the conditions under which the source code will be released.
The escrow agent keeps the source code in safe custody. Only when one of the predefined conditions occurs does he release the source code to the client.
